ABOUT RALPH:

Ralph is a leading corporate lawyer with close to 30 years’ experience advising clients on a wide range of corporate and commercial matters including private and public mergers and acquisitions, private equity and venture capital investments. 


His practice also includes advising both private and listed companies on general compliance with Singapore corporate laws as well as SGX listing rules with a focus on helping companies grow. Clients range from start-ups to listed companies and multinationals as well as private investors and private equity and venture capital funds.


Ralph has co-headed the Mergers and Acquisition Practice at Drew & Napier LLC, one of Singapore's leading law firms as well as headed the corporate practice in the Singapore firm of international law practice, Osborne Clarke. He has been consistently recognised as a market-leading lawyer in corporate and M&A.

Experiences

Some of the many high profile matters which Ralph has handled over the years are: 


  • Acted for Infosys Limited in its joint venture with Temasek to integrate teams from Infosys and the operations of Temasek’s wholly-owned subsidiary in Singapore, Trusted Source Pte Ltd (which delivered IT services to Temasek and other clients) in a joint venture which would support Temasek’s digital transformation journey.

  

  • Acted as Singapore counsel for Samsung Life Insurance Co., Ltd in relation to its acquisition of 30 Gresham Street, a prime office property in London for an amount exceeding £300 million (S$502 million) through, inter alia, the acquisition of all of the issued and paid-up ordinary shares in the capital of Euro Rose Private Limited, an indirect wholly-owned subsidiary of the Government of Singapore Investment Corporation.


  • Acted for the Offeror, a special purpose vehicle formed by a consortium led by Overseas Union Enterprise Limited (OUE) in relation to its $13.1 billion voluntary conditional cash offer to acquire all of the issued and paid-up ordinary shares in Fraser and Neave, Limited (F&N). The OUE offer was one of two competing offers for F&N, the other being the offer by TCC Assets Limited. This was one of South-East Asia’s largest takeovers. This transaction won the IFLR Asia Awards 2014 M&A Deal of the Year, Asian Legal Business SE Asia Legal Awards 2014 Southeast Asia Deal of the Year, Southeast Asia M&A Deal of the Year and Singapore M&A Deal of the Year, and was selected as one of the Asian-MENA Counsel Deals of the Year 2013. Drew was also highly recommended in the Corporate & Commercial category for Asia-Pacific headquartered firms in the Financial Times Asia-Pacific Innovative Lawyers 2014 report for its involvement in the deal. 


  • Acted for The Royal Bank of Scotland N.V., Singapore Branch and Macquarie Capital (Singapore) Pte Limited, the Joint Financial Advisers to RHC Healthcare Pte. Ltd., a vehicle owned by RHC Holding Private Limited and Fortis Healthcare Limited, in relation to RHC’s S$3.2 billion (US$2.33 billion) voluntary conditional cash offer to acquire all the issued and paid-up ordinary shares in Parkway Holdings Limited. RHC’s offer was one of two competing offers for Parkway, the other being Khazanah Nasional Berhad’s offer.


  • Advised Baring Private Equity Asia, in relation to its S$450 million pre-conditional voluntary general offer to acquire all of the issued and paid-up shares in Interplex Holdings Ltd.


  • Acted for Mitsui & Co Ltd, the Offeror, in relation to its S$221 million voluntary conditional cash offer to acquire all the issued and paid-up ordinary shares in Portek International Limited. Mitsui’s offer was one of two competing offers for Portek, the other being the offer by ICTSI Far East Pte Ltd.


  • Advised the controlling shareholders of Heng Long as well as the company in the take-over of Heng Long International Ltd which operates an internationally-recognised tannery supplying fine quality crocodilian leather to luxury and high-end fashion products manufacturers globally, by HLI Holding Pte Ltd, an indirect wholly-owned subsidiary of LVMH - Moet Hennessy Louis Vuitton S.A. (LVMH). 


  • Advised Fullerton Financial Holdings Limited (a subsidiary of Temasek Holdings) in relation to Maybank’s successful US$1.5 billion bid to acquire a controlling stake in Bank Internasional Indonesia through the acquisition of Sorak Financial Holdings, a Singapore holding company which is owned as to 75% by Fullerton Financial Holdings and 25% by Kookmin Bank.
